1. Introduction

These Terms and Conditions ("Terms") govern your use of the website and services provided by Dataforest OÜ ("Company," "we," "our," or "us"), a company registered in Estonia with registration number 14727250.

4. Service Agreements

4.1 Project Proposals

All projects begin with a detailed proposal outlining scope, timeline, deliverables, and costs. The proposal becomes part of the contract upon client acceptance.

4.2 Contract Formation

A binding contract is formed when:

• The client accepts our written proposal, or
• Both parties sign a separate service agreement, or
• The client makes payment for proposed services

4.3 Scope of Work

Services will be performed according to the agreed scope of work. Any changes or additions require written agreement and may result in additional charges.

5. Payment Terms

5.1 Pricing

All prices are quoted in USD unless otherwise specified. Prices are subject to change with 30 days' notice for ongoing services.

5.2 Payment Schedule

Unless otherwise agreed:

• Projects under $5,000: 50% upfront, 50% upon completion
• Projects over $5,000: 30% upfront, 40% at 50% completion, 30% upon final delivery
• Monthly retainer services: Payment due on the 1st of each month

5.3 Late Payments

Payments are due within 15 days of invoice date. Late payments may incur interest charges of 1.5% per month. We reserve the right to suspend services for overdue accounts.

5.4 Refunds

Refunds for completed work are not provided. For partially completed projects, refunds will be prorated based on work completed to date.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients own the custom code and deliverables created specifically for their project, subject to our retained rights in pre-existing intellectual property.

6.2 Company Rights

We retain rights to:

• General methodologies and know-how
• Pre-existing code and tools
• Code libraries and frameworks we have developed

6.3 Third-Party Components

Projects may include third-party components subject to their respective licenses. Clients are responsible for compliance with such licenses.

7. Warranties and Disclaimers

7.1 Limited Warranty

We warrant that services will be performed with professional skill and care. Software will be free from material defects for 90 days after delivery.

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE PROVIDE ALL SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, or business opportunities

9. Client Responsibilities

9.1 Cooperation

Clients must provide timely feedback, required materials, and access to necessary systems for project completion.

9.2 Content and Data

Clients are responsible for the accuracy and legality of all content and data provided to us.

9.3 Testing and Acceptance

Clients must test deliverables within 14 days of delivery and notify us of any issues. Acceptance is deemed to occur if no issues are reported within this period.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the course of the engagement. This obligation survives termination of the agreement.

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

12. Termination

12.1 Termination for Convenience

Either party may terminate the agreement with 30 days' written notice. Client remains liable for payment of work completed to date.

12.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days' written notice.

13. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes shall be resolved in the courts of Estonia.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any signed service agreements and proposals, constitute the entire agreement between the parties and supersede all prior understandings.

17. Modifications

We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated via email to existing clients.
